Terms of Service

1. Acceptance of these Terms

These Terms of Service (“Terms”) are an agreement between you and [Legal entity name — to be provided by TradeGrade] (“TradeGrade,” “we,” “us”) and govern your use of the TradeGrade website at gettradegrade.com, its mobile apps, and every public and signed-in page, including public lesson pages. By using TradeGrade or creating an account, you agree to these Terms. If you do not agree, do not use TradeGrade.

2. Eligibility

You must be at least 13 years old to use TradeGrade. If you are under the age of majority where you live, you may use TradeGrade only with the involvement and consent of a parent or legal guardian, who must make any purchase and agrees to these Terms on your behalf. TradeGrade is not directed to children under 13.

3. Accounts and security

You can read public lessons without an account. An account is required to save progress, answer lesson questions, use the Simulator and Arcade, appear on leaderboards, use the AI Tutor, or buy a membership. You may sign up with an email and password or with a supported sign-in provider such as Google.

Provide accurate information and keep it current. Passwords must have at least 8 characters and include at least one number. We may ask you to verify your email address before certain actions. You are responsible for keeping your sign-in details confidential and for activity on your account; tell us promptly at support@gettradegrade.com if you believe your account has been compromised.

Accounts are personal and may not be shared. TradeGrade keeps one active session per account: signing in on a new device or browser signs out the previous session. This is a safeguard, not a guarantee — a previous device may briefly remain signed in until its short-lived access expires.

4. Your license to use TradeGrade

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use TradeGrade for your own non-commercial learning. You may not, and may not help others to:

• sell, resell, sublicense, rent or commercially exploit TradeGrade or its content;
• share your account or membership, or let others use your sign-in;
• scrape, crawl, or bulk-download content, or use bots or automation to access the service, except that public search engines may index public pages;
• copy, modify, decompile or reverse engineer the software, except where applicable law expressly permits it;
• bypass or tamper with usage limits, paywalls, scoring, leaderboards, or security measures;
• interfere with, overload, or disrupt the service or other users.

5. Educational purpose only — no financial advice

TRADEGRADE PROVIDES GENERAL EDUCATION ONLY. NOTHING ON TRADEGRADE IS INDIVIDUALIZED INVESTMENT, FINANCIAL, LEGAL, TAX, BROKERAGE, FIDUCIARY OR OTHER PROFESSIONAL ADVICE, OR A RECOMMENDATION TO BUY, SELL OR HOLD ANY SECURITY OR OTHER INSTRUMENT.

TradeGrade offers Learning Tracks, lessons, quizzes, Practice, glossary and pattern references, calculators, the Trading Simulator, the Candle Cross Arcade, and AI features such as the AI Tutor and Explain Simply. TradeGrade is not a broker-dealer, investment adviser, financial planner, fiduciary or portfolio manager, is not registered as any of these, and does not execute trades, hold funds, or connect to brokerage accounts. You alone are responsible for your financial decisions. Do your own research and consider consulting a qualified, licensed professional before making investment decisions.

6. Trading and investment risk

Investing and trading in stocks, ETFs, options, futures, cryptocurrencies and leveraged products involve substantial risk, including the loss of more than your original investment in some products. Chart patterns, technical analysis, indicators, Smart Money Concepts, lesson examples, historical examples and AI explanations are educational ideas; they do not predict prices or guarantee any result.

Simulated and hypothetical results are not real. The Simulator and Arcade use synthetic price data and simplified mechanics. They do not reflect real market execution, liquidity, slippage, fees, taxes, or the emotional pressure of risking real money. Scores, XP, levels, streaks, badges, certificates and leaderboard rankings measure progress inside TradeGrade only, and do not indicate real-world trading ability. Past, hypothetical or simulated performance does not guarantee future results.

7. No guarantee of accuracy or results

We work to keep content accurate, but lessons, examples, explanations and other material may contain errors or omissions, may be simplified, and may become outdated as markets, products and regulations change. Charts and prices in lessons and practice are synthetic samples, not live or real quotes. We do not guarantee that any lesson, pattern, setup, strategy, indicator, AI response or feature will produce any particular or profitable outcome.

8. AI features

The AI Tutor and Explain Simply generate responses using third-party AI models. AI output can be inaccurate, incomplete, or out of date, may sound more confident than warranted, and is educational only — never individualized financial advice. Verify anything important independently.

Do not use AI features to seek personalized trade signals, to generate unlawful, harmful, harassing or deceptive content, to attempt to extract system instructions or circumvent safeguards, or to submit sensitive personal information such as account numbers or passwords. We may limit or suspend AI access for misuse.

9. Plans, subscriptions and billing

Free. All lessons are free. Free accounts include limited daily use of certain features (for example, a daily Simulator session and daily quiz and Arcade limits) and do not include AI features. Current limits are shown in the app and may change.

Pro is a recurring subscription billed monthly or yearly that removes these limits and includes AI features. Lifetime is a single one-time payment for the same Pro features with no recurring charge. The price, billing period and any trial are shown before you confirm a purchase; the price shown at purchase applies. Taxes may apply.

Automatic renewal. Pro subscriptions renew automatically at the end of each billing period and your payment method is charged the then-current price until you cancel. We will give advance notice of any price change for renewals as required by law, and you can cancel before it takes effect.

Free trial. Where a Pro free trial is offered (currently 7 days on the website), you will not be charged during the trial. Unless you cancel before the trial ends, it converts to a paid subscription and you are charged the price shown at sign-up. Trials are limited to one per person. If you cancel a website free trial, Pro access ends immediately rather than at the scheduled end of the trial. Trials bought through Apple or Google follow that store's cancellation rules, which may keep access until the trial's scheduled end.

Cancellation. Website purchases are processed by our payment processor (Stripe); cancel anytime from Account & settings. Cancellation takes effect at the end of the current paid period and you keep Pro access until then. Purchases made through the Apple App Store or Google Play are billed, managed, cancelled and refunded by Apple or Google under their terms — manage them in your Apple ID or Google Play subscription settings.

Refunds. Except where required by law or by the applicable app store's policies, payments are non-refundable and we do not provide partial refunds for unused portions of a billing period. Contact support@gettradegrade.com if you believe you were charged in error.

Lifetime. “Lifetime” means access to the Pro features for as long as TradeGrade offers the service, not the lifetime of the purchaser. It is personal to your account and non-transferable. Lifetime is a one-time purchase, not a recurring subscription, so there is nothing to cancel. Except where required by applicable law or platform policy, Lifetime purchases are non-refundable.

10. Intellectual property

TradeGrade's software, design, branding, and original lessons, questions, explanations, graphics and games are owned by or licensed to us and protected by intellectual-property laws. These Terms do not grant you any ownership rights. General financial facts, public-domain information and widely used market terms are not claimed as ours. Third-party names, trademarks and materials belong to their respective owners and their appearance does not imply endorsement.

11. Your content

You may provide a username, messages to the AI Tutor, and study notes (notes are saved on your device). You keep any rights you have in your content. You grant us a limited license to host, process and display it only as needed to operate and improve TradeGrade — for example, showing your username on leaderboards and sending your AI Tutor messages to our AI provider to generate answers. Usernames and content must not be offensive, impersonate others, infringe others' rights, or be unlawful; we may remove or change content that violates these Terms.

12. Acceptable use

You agree not to break the law using TradeGrade; harass or harm others; create multiple accounts to evade limits or bans; manipulate scores, XP, leaderboards or referral rewards; probe or attack our systems; upload malware; or use TradeGrade to market investment products or solicit other users.

13. Third-party services

TradeGrade relies on third parties, including our hosting and database provider, Stripe for web payments, Apple and Google for app-store purchases and sign-in, and AI model providers for AI features. Your use of their services may be subject to their own terms. We are not responsible for third-party websites or services we do not control, but this does not limit our own responsibilities under these Terms or applicable law.

14. Availability and changes to the service

We do not promise that TradeGrade will be uninterrupted, error-free, or available at all times. We may add, change, or remove features, content and limits. If we discontinue TradeGrade or materially reduce Pro features, we will give reasonable notice where practical, and paid members will receive any remedy required by applicable law.

15. Suspension and termination

You can stop using TradeGrade at any time and delete your account from Account & settings. We may suspend or terminate access if you violate these Terms, engage in fraud, abuse, account sharing or payment chargebacks, or create a security risk, or if required by law. Where appropriate we will tell you why. Deleting your account does not cancel an app-store subscription; cancel that with Apple or Google. Sections that by their nature should survive termination will survive.

16. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEGRADE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEGRADE AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF TRADEGRADE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO TRADEGRADE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $50. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE SO PROVIDED.

18. Indemnification

To the extent permitted by law, you agree to indemnify TradeGrade against third-party claims and related reasonable costs arising from your breach of these Terms, your misuse of TradeGrade, or your violation of law or others' rights. This does not apply to claims caused by our own misconduct.

19. Governing law and disputes

Before filing a claim, please contact support@gettradegrade.com so we can try to resolve the issue informally.

These Terms are governed by the laws of the United States and the State of [Governing state — to be provided by TradeGrade], without regard to conflict-of-law rules, except where the law of your place of residence requires otherwise. Nothing in these Terms removes consumer-protection rights you have under the law where you live.

20. Changes to these Terms

We may update these Terms. We will change the effective date above, and for material changes we will give notice in the app or by email before they take effect and, where required, ask you to accept the new version. Continued use after changes take effect means you accept the updated Terms. Changes to billing terms will not apply to a billing period you have already paid for.

21. Privacy

Our Privacy Policy explains how we collect and use information and forms part of how TradeGrade operates.

22. Copyright complaints

If you believe content on TradeGrade infringes your copyright, email support@gettradegrade.com with a description of the work, the location of the material on TradeGrade, your contact details, and a statement that you are the rights holder or authorized to act for them. We will review and respond to valid notices.

23. General

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any terms shown at purchase, are the entire agreement between you and TradeGrade about the service.
